Article VI – Miscellaneous Provisions
Section 1: Fiscal Year
The fiscal year of OURA will be from April 1 to March 31.
Section 2: Records and Books
OURA will keep (i) correct and complete books and records of account; (ii) minutes of the proceedings of meetings of the members, the Executive, and committees having any of the delegated authority of the OURA Executive; and, (iii) a record giving the names and addresses of the members entitled to vote.
Section 3: Annual Financial Report
The Executive will ensure that an annual financial report is compiled and presented to the membership at the Annual General Meeting of OURA.
Section 4: Contract Authorization
The Executive officers may authorize an officer, committee chair or agent to execute contracts on behalf of OURA and sign checks, drafts, loans, or other orders of payment or evidence of indebtedness.
Section 5: Parliamentary Rules
Except as otherwise provided in these Bylaws, the Business Session of the Annual General Meeting of OURA will be governed by the Canadian parliamentary rules and usages contained in the most recent edition of Bourinot’s Rules of Order.
Section 6: Amendments
Amendments to the Bylaws may be proposed by any member of the Executive. Proposed amendments must be submitted to the Secretary for distribution to the Executive no less than thirty (30) days before the Regular Meeting. The adoption of any proposed amendment to the Bylaws will require a two-thirds majority of the votes cast at a meeting at which a quorum is present. All changes to the OURA Bylaws will be shared at the Annual General Meeting.
